Terms of Use

These Terms of Use (the "Terms") set forth the conditions for using Deep Practice Studio (the "App") provided by TOMOSHIBI LLC ("we," "our," or "us"). By using the App, you are deemed to have agreed to these Terms.

1. Description of the App

The App is designed to help users organize reference materials they prepare themselves and manage practice order, start positions, end positions, timers, notes, logs, and related information.

The App mainly handles the following types of materials:

  • PDF, image, video, and audio files imported by users
  • YouTube video URLs or playlist URLs specified by users

2. User Environment

Devices, network connections, Apple IDs, iCloud, and any other external services required to use the App must be prepared at the user's own responsibility and expense.

3. User Responsibility

Users are responsible for confirming that they have the necessary rights to any content they add to, save in, display in, or sync through the App, or that they may lawfully use such content.

In particular, users must not infringe any third-party copyrights, trademark rights, portrait rights, privacy rights, or other rights through the PDF, image, video, and audio files they import or the URLs they specify.

4. Prohibited Conduct

When using the App, users must not engage in any of the following:

  • Conduct that violates laws or public order and morals
  • Conduct that infringes the rights or interests of third parties
  • Unauthorized access, reverse engineering, analysis, interference, or obstruction
  • Conduct that interferes with operation of the App or related services
  • Using the App to store, distribute, or share illegal or inappropriate content
  • Attempting to use the App to download, extract, convert, or redistribute YouTube content
  • Impersonating us or any third party
  • Any other conduct that we deem inappropriate

5. Use of YouTube and Third-Party Services

The App may treat YouTube URLs or playlist URLs specified by users as reference materials.

5.1 Embedded Playback

YouTube content is played, in principle, through an embedded player.
The App is not intended to download, extract, convert, or background-play YouTube videos or audio.

5.2 Third-Party Services

The App may use third-party services such as Apple, Google, Cloudflare, and others. Use of these services may be subject to the terms and privacy policies of their respective providers.

6. Paid Features

The App may include paid plans or paid features. Billing, charging, refunds, and subscription management are handled through Apple's systems, and users must also comply with Apple's applicable terms.

7. Intellectual Property Rights

All intellectual property rights related to the App, including its programs, screen layouts, text, design, logos, and other elements, belong to us or the respective lawful rights holders.

Users must not reproduce, republish, distribute, or modify any information or content obtained through the App beyond the scope permitted by law.

8. Changes, Suspension, and Termination

We may change, suspend, or terminate all or part of the App at any time as necessary.

We may also restrict provision of the App due to maintenance, incident response, limitations of external services, legal compliance requirements, or other unavoidable reasons.

9. Disclaimer

We do not guarantee that the App is fit for any particular purpose, that it will remain continuously available, or that it will be free from errors or malfunctions.

We are not liable for any damages arising from the user's use of or inability to use the App, except in cases of our willful misconduct or gross negligence.

Any disputes or damages arising from content that users add, save, sync, or display through the App shall be resolved at the user's own responsibility.

10. Changes to These Terms

We may revise these Terms as necessary. If any important changes are made, we will provide notice on the public page or within the App.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan.
If a dispute arises between us and a user in connection with the App, the court having jurisdiction over our principal place of business shall have exclusive jurisdiction as the court of first instance.
