1. Application
These Terms of Use (hereinafter, the “Terms”) set forth the conditions of use for Feel the Count (hereinafter, the “App”) provided by TOMOSHIBI LLC (hereinafter, the “Company”).
By using the App, users are deemed to have agreed to these Terms.
2. Service Content
The App is designed to help users check tempo and prepare for count-ins using haptics or sound on Apple Watch or iPhone immediately before starting a song in live performances, rehearsals, sessions, and similar settings.
The App mainly provides the following features.
- A free tempo feature that allows users to adjust BPM, repeat count, count count, and accents without registering songs
- A song library for saving song titles, BPM, repeat count, count count, and accent settings
- A setlist feature for managing song order for live performances, rehearsals, and sessions
- Count execution using Count Once or Repeat
- Synchronization of songs, setlists, and execution settings between iPhone and Apple Watch
- App-wide settings for vibration, click sounds, and metronome display
- Usage limits for the free range and a one-time purchase feature that removes limits on saved items and playback count
Billing, charges, refunds, restoration, and other purchase processing for the paid unlock are handled through Apple’s App Store and in-app purchase systems. Users shall also comply with the terms established by Apple.
3. User Responsibilities
Users are responsible for the following matters.
- Preparing and managing the iPhone, Apple Watch, OS, communication environment, Apple account, and other items necessary to use the App
- Using the App with an understanding that Apple Watch integration, haptics, sound, notifications, device settings, battery status, and similar factors may affect usage
- Managing the content that users enter or save themselves, including song titles, BPM, setlist names, notes, count settings, and accent settings
- Even when using the App for live performances, rehearsals, sessions, or similar settings, personally handling performance, progression, safety checks, and consideration for surroundings
- Using the App in a manner that does not violate laws or the rights of third parties
4. Prohibited Acts
Users must not engage in the following acts when using the App.
- Acts that violate laws or public order and morals
- Acts that infringe the rights or interests of third parties
- Analysis, interference, modification, or reverse engineering of the App or related systems
- Attempts to gain unauthorized access to non-public areas or related systems
- Acts that improperly bypass the free range, purchase status, synchronization processing, or usage limits
- Acts that interfere with the operation or support of the App or other users’ use of the App
- Any other acts that the Company determines to be inappropriate
5. Intellectual Property Rights
Rights related to the software, screens, designs, logos, wording, templates, and other content included in the App belong to the Company or to third parties that hold legitimate rights.
Rights related to content that users enter or save in the App, such as song titles, setlist names, notes, BPM, and count settings, remain with the users or legitimate rights holders. However, users grant the Company permission to handle such content to the extent necessary to provide, save, display, and support Apple Watch integration for the App’s features.
6. Disclaimer
The Company does not guarantee the following matters.
- That the App will be continuously available
- That the App will be free from errors or defects
- That the App will operate properly on all devices, Apple Watch models, OS versions, settings, and usage environments
- That haptics, sound, and display will be sufficiently recognizable in all performance environments
- That use of the App will guarantee results for performances, tempo, count-ins, live performances, rehearsals, sessions, or similar activities
- That the App will be suitable for any particular purpose
The App is intended to assist with tempo checking and count-in preparation before musical performances, and does not guarantee performance results or success in live environments.
Except in cases of willful misconduct or gross negligence by the Company, the Company shall not be liable for damages incurred by users arising from their use of, or inability to use, the App.
7. Changes
The Company may change, suspend, or terminate the content of the App, these Terms, the free range, paid features, and methods of provision as necessary.
If these Terms are revised, important changes will be announced on a public page or within the App. If users use the App after the revision, they are deemed to have agreed to the revised Terms.
